These Terms of Use ("Terms") govern your access to and use of the SupportHQ platform, including our website at supporthq.io and the embeddable chat widget (collectively, the "Service"), provided by SupportHQ ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility and Account
The Service is intended for business use only. By creating an account, you represent that you are at least 18 years old and have the authority to bind the entity on whose behalf you are using the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
2. Service Description
SupportHQ provides an AI-powered chat widget that businesses can embed on their websites to support customers, capture leads, and facilitate conversations. The Service includes document training, AI-generated responses, live chat, calendar integrations, and related features as described on our website.
3. Subscriptions, Fees, and Payment
3.1 Plans and Billing
The Service is offered on a subscription basis with monthly and annual billing cycles. Pricing details are available on our website. All fees are quoted in US Dollars unless otherwise stated.
3.2 Free Trials
We may offer free trials at our discretion. At the end of a trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial expires. Free trials are provided "as is" without any service level guarantees.
3.3 Auto-Renewal
Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You authorize us to charge your payment method on file for each renewal period.
3.4 Taxes
All fees are exclusive of taxes. You are responsible for any applicable sales, use, VAT, or other taxes imposed by any jurisdiction.
4. Customer Data and Responsibilities
4.1 Ownership
You retain all rights, title, and interest in your data, including documents, conversation logs, and any content you upload to the Service ("Customer Data"). You grant us a limited, non-exclusive license to use Customer Data solely to provide and improve the Service.
4.2 Your Obligations
You are responsible for:
- Ensuring you have the right to upload and use all Customer Data
- Obtaining all necessary consents from your website visitors for data collection through the widget
- Complying with all applicable laws, including data protection and privacy regulations
- Maintaining appropriate privacy policies on your own website that disclose the use of our widget
4.3 Prohibited Content
You may not upload or transmit content that is illegal, harmful, defamatory, infringing, or otherwise objectionable. You must not submit sensitive personal information (such as financial account numbers, health records, or government-issued identification numbers) unless expressly agreed in writing.
5. AI-Powered Features
5.1 AI Disclaimer
The Service uses artificial intelligence to generate responses. AI-generated content may be inaccurate, incomplete, or factually incorrect. You acknowledge that AI responses are provided on an "as-is" basis and should not be relied upon as professional advice (legal, medical, financial, or otherwise) without independent human verification.
5.2 Disclosure to End Users
You must inform your website visitors that they may be interacting with an AI-powered assistant. You must not misrepresent AI-generated responses as human-generated.
5.3 Prohibited AI Uses
You may not use the AI features of the Service to:
- Provide medical diagnoses or healthcare advice
- Make financial, legal, or investment decisions without human oversight
- Generate spam, malware, or deceptive content
- Engage in political manipulation or disinformation
- Make automated decisions in high-stakes scenarios (employment, creditworthiness, criminal justice) without human review
- Reverse-engineer, extract model weights, or train competing AI models
5.4 Human Oversight
You are expected to apply appropriate human oversight and accuracy checks to AI-generated content, particularly in sensitive use cases.
6. Acceptable Use
You agree not to:
- Use the Service for any illegal or unauthorized purpose
- Interfere with or disrupt the Service or its infrastructure
- Attempt to gain unauthorized access to the Service or related systems
- Reverse-engineer, decompile, or disassemble any part of the Service
- Use the Service to conduct competitive analysis or build a competing product
- Resell, sublicense, or redistribute the Service without our prior written consent
- Exceed reasonable usage limits or abuse the Service in a manner that degrades performance for other users
7. Intellectual Property
We retain all rights, title, and interest in the Service, including all software, designs, trademarks, and proprietary technology. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE SERVICE. WE DO NOT WARRANT THAT AI-GENERATED RESPONSES WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SUPPORTHQ BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless SupportHQ and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your Customer Data; or (d) your violation of any third-party rights.
12. Term and Termination
12.1 Term
These Terms remain in effect for as long as you have an active account or use the Service.
12.2 Termination by You
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing cycle.
12.3 Termination by Us
We may suspend or terminate your access to the Service at any time for cause, including if you breach these Terms, fail to pay fees, or engage in activity that threatens the integrity of the Service. We will provide reasonable notice where practicable.
12.4 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will delete your Customer Data within 90 days of termination, unless required to retain it by law. Sections relating to intellectual property, disclaimers, limitation of liability, and indemnification survive termination.
13. Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to participate in a class-action lawsuit or class-wide arbitration.
14. Modifications
We reserve the right to update these Terms at any time. We will notify you of material changes by email or by posting a notice on the Service. If you object to any changes, you may terminate your account before the changes take effect. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
15. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and SupportHQ.
- Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
- Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force Majeure: We shall not be liable for any failure to perform due to events beyond our reasonable control, including natural disasters, war, government actions, or internet outages.
